1. Definitions
“OG Tel” “we,” “us,” and “our” refer to the OG Tel business operating the Services. “You” and “Customer” refer to any individual or entity accessing or using the Services. “Content” means any data, logs, call detail records (CDRs), events, configurations, files, text, images, or other materials submitted to or processed by the Services. “Documentation” means user guides, technical documentation, specifications, and service descriptions we make available.
2. Scope of Services
The Services may include real-time charging components, mediation pipelines, event ingestion and normalization, rating engines, analytics outputs, implementation consulting, integration support, and related tooling. Specific deliverables, deployment models (e.g., hosted, on-prem, hybrid), and timelines may be described in an order form, statement of work, proposal, or similar commercial document (“Order”).
If an Order conflicts with these Terms, the Order will control only for that specific engagement and only to the extent of the conflict. All other aspects remain governed by these Terms.
3. Eligibility and Account Security
You must be legally capable of entering into a binding contract to use the Services. If the Services require credentials, you are responsible for maintaining the confidentiality of login information and for all activities that occur under your account. You agree to notify us promptly of any suspected unauthorized access or security incident impacting your credentials.
4. Acceptable Use
You agree not to misuse the Services. Misuse includes attempting to interfere with normal operation, bypass security controls, probe or scan systems without authorization, or use the Services for unlawful activities. You also agree not to transmit malware, exploit code, or content that infringes intellectual property or violates privacy rights. We may impose rate limits or protective measures to maintain platform stability.
- No unauthorized access attempts, credential stuffing, or automated scraping that degrades the Services.
- No reverse engineering or disassembly of proprietary components, except where prohibited by law.
- No use of the Services to violate network, telecom, or data protection regulations applicable to your operations.
5. Customer Responsibilities
You are responsible for the accuracy, legality, and quality of the Content you provide, including ensuring you have all required rights and permissions to submit and process telecom data. You are responsible for configuring and using the Services in accordance with the Documentation and for maintaining appropriate operational controls, access management, and change control practices.
If you are integrating the Services with live networks, you are responsible for performing adequate testing in a non-production environment before rollout, and for implementing rollback procedures and monitoring to detect anomalies.
6. Third-Party Services and Partners
The Services may integrate with third-party tools, infrastructure providers, telecom components, analytics platforms, or partner services. Third-party services are governed by their own terms and policies. We are not responsible for third-party systems, outages, or changes that impact integrations. Where we introduce vetted partners for specialized work, you may contract directly with the partner under separate terms.
7. Commercial Terms (Fees, Taxes, Invoicing)
Fees, payment schedules, and commercial terms will be described in the applicable Order. Unless otherwise specified, fees are non-refundable once the Service period begins or work has commenced. You are responsible for all applicable taxes, duties, and similar governmental assessments, excluding taxes based solely on our net income.
Late payments may result in suspension of Services until amounts are paid. We may charge reasonable administrative costs, interest, or late fees as allowed by law.
8. Service Levels, Support, and Maintenance
Support scope and response times may be defined in an Order or support plan. We may perform maintenance to improve security, performance, and reliability. Maintenance may include patches, upgrades, and infrastructure changes. Where feasible, we will provide notice of planned maintenance that could materially affect availability.
9. Confidentiality
Each party may receive confidential information from the other, including technical details, designs, roadmaps, security practices, and business information (“Confidential Information”). Confidential Information does not include information that becomes public without breach, was already known, is independently developed, or is rightfully received from a third party without restriction.
Each party will use reasonable measures to protect the other party’s Confidential Information and will use it only to perform under these Terms. Confidentiality obligations survive termination.
10. Data, Security, and Compliance
You acknowledge that telecom and billing data may be sensitive and regulated. You are responsible for ensuring that your use of the Services complies with applicable telecom, consumer protection, and data privacy laws. We implement administrative, technical, and organizational safeguards designed to protect Content. No method of transmission or storage is completely secure; you agree to use the Services with appropriate risk management practices.
If required for a specific engagement, the parties may execute additional data protection terms, security addenda, or compliance documents. Any such addenda will supplement these Terms.
11. Intellectual Property
We retain all right, title, and interest in and to the Services, Documentation, and all associated intellectual property. You retain ownership of your Content. Subject to these Terms and any Order, we grant you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes during the term.
12. Feedback
If you provide feedback, suggestions, or ideas, you grant us a worldwide, royalty-free license to use and incorporate that feedback without restriction or obligation to you.
13. Term, Suspension, and Termination
These Terms remain in effect while you use the Services. We may suspend or terminate access if you materially breach these Terms, fail to pay fees, or if continued access would pose security, legal, or operational risk. Upon termination, your right to access the Services ends. Sections that by their nature should survive termination (including confidentiality, IP, disclaimers, and limitations) will survive.
14. Disclaimers
Except as expressly stated in an Order, the Services are provided “as is” and “as available.” We disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. You acknowledge that operational outcomes depend on configuration, integrations, and data quality that may be outside our control.
15. Limitation of Liability
To the maximum extent permitted by law, OG Tel will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, business, goodwill, or data, arising out of or related to the Services. Our aggregate liability for all claims arising under these Terms will not exceed the amounts paid by you for the Services in the twelve (12) months preceding the event giving rise to the claim.
16. Indemnification
You agree to indemnify and hold OG Tel harmless from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your Content, your use of the Services, or your violation of these Terms or applicable law.
17. Changes to the Services or Terms
We may update the Services and these Terms from time to time. If changes materially reduce your rights, we will take reasonable steps to provide notice. Continued use of the Services after the effective date of the updated Terms constitutes acceptance.
18. Governing Law; Dispute Resolution
These Terms are governed by the laws of the jurisdiction where OG Tel operates, without regard to conflict of laws principles. The parties will attempt in good faith to resolve disputes through discussions. If unresolved, disputes may be pursued in a court of competent jurisdiction, unless an Order provides an alternate dispute mechanism.
19. Miscellaneous
You may not assign these Terms without our prior written consent, except to an affiliate or in connection with a merger or sale of substantially all assets, provided the assignee agrees to be bound. If any provision is held unenforceable, the remaining provisions remain in effect. These Terms and applicable Orders constitute the entire agreement regarding the Services and supersede prior communications.
